End User License Agreement (EULA)

Effective Date: July 2, 2026

This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and XR Medical Imaging ("Company", "we", "our", or "us") governing your use of our software, website, and virtual reality medical imaging platform (collectively, the "Software" or "Services").

By installing, accessing, or using the Software, you agree to be bound by this Agreement.

1. License Grant

XR Medical Imaging grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software in accordance with this Agreement.

2. Restrictions

You agree not to:

  • Copy, modify, distribute, or create derivative works of the Software
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Software for unlawful, harmful, or fraudulent activities
  • Remove or alter proprietary notices or branding
  • Resell, lease, or sublicense the Software without authorization

3. Ownership

The Software is licensed, not sold. XR Medical Imaging retains all rights, title, and interest in and to the Software, including all intellectual property rights.

4. User Data and Medical Content

You retain ownership of all data you import, including medical imaging data such as DICOM files. You are solely responsible for ensuring that you have the legal rights and necessary consents to use such data.

XR Medical Imaging does not claim ownership of your data and processes it solely to provide the Services.

5. Medical Use Disclaimer

The Software is designed for diagnostic purposes but has not been submitted to the U.S. Food and Drug Administration (FDA) for clearance. It is not FDA-cleared for diagnostic use and is not intended to be relied upon as the sole basis for diagnosis, treatment, or clinical decision-making.

6. Updates and Modifications

We may update, modify, or the Software at any time. Registered individuals will be notified of future releases.

In the event the Software is materially reduced in functionality, users with active paid subscriptions will be eligible for a prorated reimbursement for any unused portion of their subscription term.

Continued use of the Software after updates constitutes acceptance of the revised Agreement.

7. Disclaimer of Warranties

The Software is provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, XR Medical Imaging disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, uninterrupted operation, and compatibility with specific hardware, software, or virtual reality systems. You acknowledge that your use of the Software is at your sole risk.

8. Regulatory and Medical Device Disclaimer

XR Medical Imaging Software has not been submitted to the U.S. Food and Drug Administration (FDA) for clearance and is not FDA-cleared for diagnostic use.

The Software has been designed with medical device development principles in mind, including consideration of regulatory pathways and quality processes. XR Medical Imaging intends to pursue FDA clearance or approval in the future.

Until such clearance or approval is obtained, the Software is provided strictly for research, educational, visualization, and informational purposes only.

XR Medical Imaging makes no representations or warranties regarding regulatory compliance, clinical accuracy, or suitability for medical use unless and until formal regulatory clearance is obtained.

9. Enterprise and Institutional Use

If you are using the Software on behalf of a hospital, healthcare provider, academic institution, or other organization, you represent and warrant that you have the authority to bind that entity to this Agreement.

The organization is responsible for:

  • Ensuring compliance with all applicable laws and regulations, including HIPAA and data protection requirements
  • Managing user access and permissions
  • Ensuring proper handling of medical and patient data

10. Limitation of Liability

To the fullest extent permitted by law, XR Medical Imaging shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of data
  • Loss of profits or revenue
  • Business interruption
  • Medical or clinical decisions made using the Software

11. Virtual Reality and Third-Party Hardware

The Software may be used in conjunction with virtual reality hardware and third-party platforms, including but not limited to Meta (Oculus), SteamVR, and other XR systems.

XR Medical Imaging is not responsible for:

  • Hardware malfunctions, tracking errors, or device inaccuracies
  • Physical injury, discomfort, motion sickness, or health effects resulting from VR use
  • Compatibility issues with third-party devices, drivers, or software environments

You are solely responsible for ensuring safe use of VR equipment and compliance with manufacturer guidelines.

12. Platform and App Store Compliance

If you download or use the Software through a third-party platform (including but not limited to Microsoft Store, Meta Store, or Steam), you agree to comply with all applicable platform terms and conditions.

XR Medical Imaging is solely responsible for the Software, and not the platform provider. However:

  • Platform providers may enforce their own usage rules and restrictions
  • Refunds and billing may be subject to platform policies
  • Access to the Software may be modified or revoked by the platform provider

You acknowledge that platform providers are third-party beneficiaries of this Agreement where applicable.

13. Indemnification

You agree to indemnify and hold harmless XR Medical Imaging from any claims, damages, or liabilities arising from:

  • Your use of the Software
  • Your violation of this Agreement
  • Your handling of medical or personal data

14. Compliance with Laws

You agree to comply with all applicable laws and regulations, including those related to medical data, privacy, and export controls.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States and the Commonwealth of Massachusetts, without regard to conflict of law principles.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and XR Medical Imaging regarding the Software and supersedes all prior agreements.
